解读枢密院审判委员会的新规定

2024 年 10 月 23 日，香港特别行政区高等法院高等法院暂委法官 Le Pichon 认可和支持 Bull's-Eye Limited 的联合官方清盘人 Chan Ho Yin （Michael Chan） 和 Elaine Hanrahan。该决定是在英属维尔京群岛 （BVI） 东加勒比最高法院的要求下做出的。该裁决阐明了香港法院对承认在公司注册地任命的外国清算人的立场，特别是当公司的主要利益位于香港时。Bull's-Eye Limited的背景Bull's-Eye是一家在英属维尔京群岛注册的公司，并持有华汉健康产业控股有限公司的重要股份（29.77%），该公司是一家曾在香港证券交易所上市的开曼群岛实体。2019 年 7 月，华涵根据香港法院的命令进入临时清算程序，随后于 2019 年 12 月获得清盘令。

 

2022 年 8 月，香港法院命令 Bull's-Eye 向 华 Han 及其子公司支付 7.13 亿港元，以补偿 Bull's-Eye 明知而收到的挪用资金。

 

清盘程序和恢复工作

在恢复工作期间，据透露 Bull's-Eye 已被溶解。因此，2023 年 8 月 23 日，Intended Features Limited（正式清盘中）的联合清算人寻求协助，以将 Bull's-Eye 恢复到公司登记册中，并于 2023 年 9 月 1 日成功实现。在此之后，向 BVI 法院申请为 Bull's-Eye 任命清算人。2024 年 1 月 15 日，陈先生和 Hanrahan 女士被英属维尔京群岛法院任命为联合官方清算人。

 

尽管在英属维尔京群岛注册成立，但 Bull's-Eye 在香港拥有宝贵的资产，包括在各种金融机构开立的 9 个银行账户中的现金。这些资产目前受到香港证券及期货事务监察委员会的限制性通知的约束。

 

为了方便人们取用这些资产，康德明律师事务所于 2024 年 7 月 24 日向英属维尔京群岛法院申请向香港高等法院提交请求书，以寻求认可和协助。英属维尔京群岛法院于 2024 年 7 月 26 日发出了这一请求。

 

香港的认可程序

2024 年 9 月 30 日，联合清盘人向香港法院提交了申请，要求承认 Bull's-Eye 的破产清算，并由英属维尔京群岛法院任命他们。高等法院副法官 Le Pichon 主持了这项申请，并确定在以下情况下将获得认可：

外国破产程序是集体诉讼。

它们是在公司主要利益中心所在的司法管辖区发起的。

 


如果未满足这些条件，但诉讼发生在公司注册的司法管辖区，则仍然可以出于与管理协助或实际需求相关的有限目的授予认可。Le Pichon 法官强调，只要外国命令不对当地利益产生不利影响，就应该有法院承认的趋势。

 

The standard recognition order from the Hong Kong Court allows foreign liquidators to:

  • Locate and secure all assets belonging to the company.\

  • Initiate legal proceedings as necessary.

  • Access information regarding the company.

  • Manage bank accounts associated with the company.

  • Engage professional advisors as needed.

 

The court concluded that recognizing the joint liquidators' status was essential for them to manage Bull’s-Eye's assets effectively within Hong Kong.

 

In her ruling, Judge Le Pichon expressed confidence that all criteria for recognition and assistance were met and therefore granted recognition to Mr. Chan and Ms. Hanrahan.This decision is expected to significantly benefit creditors of Bull’s-Eye and its subsidiaries by facilitating asset recovery efforts. It also highlights the importance of judicial cooperation between jurisdictions like the British Virgin Islands and Hong Kong.
